This agreement (“Agreement”) is entered into by and between The Valzacchi Collective (“Service Provider”) and [Client Name] (“Client”), on the date of signature of this Agreement. The Client agrees to the following terms and conditions governing the 1:1 Coaching Container services provided by The Valzacchi Collective.

1. Scope of Services

The Valzacchi Collective will provide the following services to the Client as part of the 1:1 Coaching Container:

• Initial Audit of Social Media Platforms
  (If already existing)

• Messaging Support through Telegram
  (Monday to Friday Daily Support, Limited services on Weekends)

• Logo Creation/Revamp
  (with editable template provided in Canva)

• Brand Board / Style Guide Curation
  (A detailed guide to align your visual branding elements)

• Content Editing Tips & Tricks
  (Suggestions on improving social media content for greater engagement)

• Social Media Content Planning
  (Including advice on strategizing and scheduling content)
  Note: Branding Shoots & Content Creation Services are available for an additional fee based on the Client’s needs.

• Review of Operational Practices
  (Recommendations to improve efficiencies and streamline processes)

Additional Services

Any services not listed above may incur an additional fee. If additional services are requested, a separate quote will be provided, and the Client must agree to the additional cost before the commencement of such services.

2. Term & Termination

The 1:1 Coaching Container is designed for a minimum commitment period of [Insert Duration]. Either party may terminate this Agreement upon 7 days' written notice.

The Valzacchi Collective reserves the right to terminate the Agreement immediately if the Client fails to comply with the payment terms outlined below or violates any terms of this Agreement.

3. Payment Terms

Payment Options

The Client agrees to pay the total cost of the 1:1 Coaching Container services as follows:

• Paid in Full: The full payment is due within 7 days of signing this Agreement.

• Payment Plan: [Insert number] installments to be paid as follows:

  2. [Insert Payment 2 Amount] due by [Insert Date]

  3. [Insert Payment 3 Amount] due by [Insert Date] (if applicable)

Payment Obligations

All payments must be made within 7 days, whether paid in full or on an installment basis. Failure to make any payments on time will result in immediate termination of 1:1 Coaching services, and the Client will forfeit all further coaching sessions and support until payment is received. No services will be provided if payment is not completed as agreed.

4. Refund & Cancellation Policy

• The Valzacchi Collective does not offer refunds for services rendered. Should the Client decide to terminate services after payment is made, no refund will be issued for services already delivered.

• The Client must notify The Valzacchi Collective of any cancellations or requests to reschedule within 48 hours of a scheduled session.

5. Responsibilities of the Client

The Client agrees to fully participate and communicate effectively with The Valzacchi Collective throughout the coaching process. The success of this coaching container relies on the Client’s active involvement, commitment, and implementation of the provided guidance and strategies.

6. Confidentiality

The Valzacchi Collective will maintain strict confidentiality regarding any information shared by the Client. Likewise, the Client agrees not to share any proprietary materials, strategies, or resources provided by The Valzacchi Collective with third parties without express written consent.

7. Limitation of Liability

The Valzacchi Collective is not liable for any indirect, incidental, or consequential damages that may arise from the coaching services provided. The Client acknowledges that results may vary, and the success of the coaching container depends on the Client’s efforts and dedication.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction]. Any disputes arising from this Agreement will be settled in the courts of [Insert Jurisdiction].

9. Amendments

This Agreement may be modified or amended only by a written agreement signed by both parties.
